End User Licence Agreement (macOS app)
This document is complete in substance but still carries placeholders in square brackets for the registered entity, address and governing law. It has not yet been reviewed by a qualified lawyer in the relevant jurisdiction, and it is not legal advice.
In short: You get a personal, non-transferable licence to use the AccessProof Mac app on Apple devices you own or control. The app is a client: it uploads a build and shows you a report, but the audit itself is a service governed by the Terms of Service. Credits are a consumable in-app purchase at $149.99; your balance lives on our server, not in the app, and the server's number is the correct one. Apple sells you the app but is not responsible for it — we are.
1. This is an agreement with us, not with Apple
This End User Licence Agreement (the "Licence") is a contract between you and [LEGAL_ENTITY] ("we", "us"), the developer of the AccessProof macOS application (the "Application"). Apple Inc. is not a party to it. Apple distributes the Application and processes your purchase, and section 12 onwards sets out precisely what that does and does not make Apple responsible for.
By downloading or using the Application you accept this Licence. If you do not accept it, do not use the Application; if you have already bought a credit, section 15 and the Refunds & purchases policy tell you what to do next.
2. How this fits with the other documents
Three documents, three subjects, in this order of precedence for their own subject matter:
- This Licence governs the software installed on your Mac.
- The Terms of Service govern the audit that runs when you spend a credit — delivery, evidence, deletion, liability, what a report is and is not.
- The Privacy Policy governs data.
Where this Licence and the Terms of Service both address the same point, the Terms of Service govern the service and this Licence governs the software. Neither expands what the other promises.
3. The licence you get
We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Application on any Apple-branded device that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions. If you are a company, that licence extends to your employees and contractors using devices your company owns or controls, for your company's internal business purposes.
The Application is licensed, not sold. We and our licensors retain all right, title and interest in it. You get no rights other than those expressly granted here.
4. The Application is a client
The Application does not perform an audit. It selects a build, uploads it, shows you the status of a job running on our infrastructure, and renders the report that comes back. Everything that determines whether an audit is correct, delivered on time, or delivered at all is the service, and the Terms of Service govern it.
This matters for one practical reason: the Application can be working perfectly while the service is degraded, and vice versa. A refund question about an audit is a service question, not a software question.
5. Credits, and where your balance actually lives
An Audit Credit is a consumable in-app purchase
(dev.accessproof.credit, $149.99). One credit buys one
audit of one application on one platform, subject to the Terms of Service.
The server holds your balance and the server is authoritative. The Application displays a number, but that number is a cached view. When your Mac and our server disagree, the server's figure is correct and the Application will correct itself. We do this deliberately: a balance stored only on a device is a balance that can be edited on that device, and a credit system that can be edited by its holder is not a credit system.
A credit is credited to your balance only after Apple's receipt for the purchase has been verified with Apple. If verification fails, no credit appears — and if you were nonetheless charged, contact info@accessproof.dev with your transaction ID and we will resolve it.
Credits are bound to the Device Token — a random UUID stored in your Mac's Keychain, described in the Privacy Policy. They do not expire, have no cash value, and cannot be transferred, sold or exchanged. Because there are no accounts, losing that Keychain item means losing the handle to your balance; recovery goes through your Apple receipt and info@accessproof.dev, and we will make a genuine effort, but we cannot promise it will succeed.
6. What you may not do
- Copy the Application except as necessary for normal use and backup.
- Reverse engineer, decompile or disassemble it, or attempt to derive its source code, except to the extent that applicable law expressly permits this despite the restriction — in the EU, Articles 5 and 6 of Directive 2009/24/EC, and equivalent national law.
- Modify it, create derivative works from it, or remove or obscure any notice of ownership.
- Rent, lease, lend, sell, redistribute, sublicense or provide it as a service to a third party.
- Circumvent, disable or interfere with any licensing, credit-accounting or security mechanism, or forge or replay a receipt, an entitlement or a Device Token.
- Use it to attack, overload or probe our infrastructure, or to submit builds you have no right to test.
Attempting to manufacture credits — by tampering with the client, replaying a receipt, or any equivalent method — is a material breach. We may reverse the balance and terminate this Licence under section 10 without a refund.
7. Updates
We may issue updates that fix defects, add features or change how the Application talks to the service. Updates are delivered through the Mac App Store and are covered by this Licence unless they arrive with terms of their own. Because the Application is a client of a live service, an old version may eventually stop working with it; we will not deliberately break a version less than 12 months old without notice in the Application.
8. Data and privacy
The Application's data behaviour is described in the
Privacy Policy and declared in the
PrivacyInfo.xcprivacy manifest shipped inside it. In summary: no
analytics, no advertising identifier, no tracking domains; a Keychain UUID;
an optional notification address erased on send; your build and your support
message. Your build is deleted at
audit_completed and
never is what happens to it in respect of
model training.
9. File access
The Application is sandboxed. It can read a file only when you choose that file yourself, and its network access is limited to talking to our service. It does not scan your disk, index your projects or read anything you have not handed it. If macOS shows you a permission prompt the Application did not obviously need, treat that as a bug and tell us.
10. Term and termination
This Licence runs until terminated. It ends automatically if you breach it materially and do not cure the breach within 14 days of us asking. You may end it at any time by deleting the Application. On termination you must stop using the Application and delete all copies.
Termination of this Licence does not by itself forfeit credits you bought and have not spent, except where the breach was an attempt to manipulate the credit system (section 6). Sections 5, 6, 11, and 12–19 survive.
11. Warranty and liability for the software
To the maximum extent permitted by applicable law, the Application is provided "as is" and "as available", without warranty of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that it will be uninterrupted or error-free.
Our liability arising out of the Application is subject to the same caps and exclusions as the service — see Terms of Service, section 17. Nothing in this Licence excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded.
If you are a consumer, you have statutory rights in your country — including, in the EU and the UK, rights concerning digital content that is not as described or not of satisfactory quality. Nothing here removes them. Where this Licence conflicts with a mandatory consumer protection in your jurisdiction, that protection wins.
12. Apple: acknowledgement
You and we acknowledge that this Licence is concluded between you and us only, and not with Apple; that we, and not Apple, are solely responsible for the Application and its content; and that this Licence does not provide for usage rules for the Application that conflict with the Apple Media Services Terms and Conditions as of the date you accept it.
13. Apple: scope of licence
The licence granted in section 3 is limited to a non-transferable licence to use the Application on any Apple-branded products that you own or control, and as permitted by the Usage Rules set out in the Apple Media Services Terms and Conditions. Audit Credits are consumable in-app purchases and are therefore not shared through Family Sharing.
14. Apple: maintenance and support
We are solely responsible for providing any maintenance and support services for the Application, as specified in this Licence or as required under applicable law. You and we acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services for the Application. 15. Apple: warranty
We are solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the Application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Application, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be our sole responsibility.
16. Apple: product claims
We, and not Apple, are responsible for addressing any claims by you or any third party relating to the Application or your possession and use of it, including but not limited to: product liability claims; any claim that the Application fails to conform to any applicable legal or regulatory requirement; and claims arising under consumer protection, privacy or similar legislation, including in connection with the Application's use of HealthKit and HomeKit frameworks — which the Application does not use.
17. Apple: intellectual property claims
In the event of any third-party claim that the Application or your possession and use of it infringes that third party's intellectual property rights, we, and not Apple, will be solely responsible for the investigation, defence, settlement and discharge of that claim.
18. Apple: legal compliance
You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and that you are not listed on any U.S. Government list of prohibited or restricted parties. You further agree to comply with any applicable third-party terms when using the Application.
The Application is "commercial computer software" as defined in 48 C.F.R. §2.101. If it is acquired by or on behalf of the U.S. Government, it is provided with only those rights granted to all other end users under this Licence, in accordance with 48 C.F.R. §12.212 and 48 C.F.R. §227.7202.
19. Apple: third-party beneficiary
You and we acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this Licence, and that, upon your acceptance of its terms and conditions, Apple will have the right (and will be deemed to have accepted the right) to enforce this Licence against you as a third-party beneficiary of it.
20. General
This Licence is governed by [GOVERNING_LAW], and the courts of [COMPETENT_COURTS] have jurisdiction, save that if you are a consumer you may also bring proceedings in the courts of your country of residence and you keep the protection of its mandatory law. If any provision is held unenforceable, the rest stands. Our failure to enforce a provision is not a waiver of it. You may not assign this Licence; we may assign it as part of a merger, acquisition or sale of assets. This Licence is written in English; a translation is provided for convenience and the English text governs.
